Public Offer Agreement for the Provision of Services
This document (hereinafter referred to as the “Offer”) is an official public proposal to conclude a Public Offer Agreement for the provision of services (hereinafter referred to as the “Agreement”) under the terms set forth below. In accordance with Articles 633 and 641 of the Civil Code of Ukraine, the terms of the Agreement are identical for all Customers, regardless of their status (individual, legal entity, or sole proprietor), and unconditional acceptance of these terms is considered acceptance of this Offer by the Customer.

acting on the basis of the record in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations,
hereinafter referred to as the “Provider”, on the one hand,
and
any person who has accepted this Offer by agreeing to the terms defined by the Provider, hereinafter referred to as the “Customer”, on the other hand,
hereinafter jointly referred to as the “Parties” and individually as a “Party”,
have entered into this Agreement as follows:
1. Terms and Definitions
1.1. Public Offer – a proposal by the Provider addressed to any individual and/or legal entity, in accordance with Article 633 of the Civil Code of Ukraine, to conclude an agreement for the provision of marketing services, including but not limited to SEO promotion, PPC advertising, online reputation management, and other services under the terms of this Agreement.
1.2. Acceptance – full and unconditional agreement of the Customer to conclude this Agreement under its terms.
1.3. Provider – LLC “VERNYE WEB RESHENIYA”, which provides services under this Agreement, with information available at:

1.4. Customer – an individual or legal entity who has paid for services to the Provider’s account.
1.5. Personal Data – any information relating to an identified or identifiable individual.
1.6. Data Subject – an individual whose personal data is processed.
1.7. Consent of Data Subject – voluntary expression of will to allow processing of personal data.
2. General Provisions
2.1. This Agreement is a public agreement under Article 633 of the Civil Code of Ukraine.
2.2. The Agreement defines the terms for providing and paying for services available on https://ukr.site-ok.ua or offered individually.
2.3. The Agreement is a public offer to an unlimited number of persons.
2.4. The terms are одинаковы для всех Customers.
2.5. This is an adhesion contract under Article 634 of the Civil Code of Ukraine.
2.6. Acceptance is considered payment for services via bank transfer or payment systems such as wayforpay.com or paypal.com.
2.7. The Agreement is considered concluded upon receipt of payment.
2.8. Parties may agree on alternative acceptance methods.
2.9. Payment confirms full acceptance of the Agreement.
2.10. This Agreement is an electronic contract under the Law of Ukraine “On Electronic Commerce”.
2.11. A printed version may be provided upon request.
3. Subject of the Agreement
3.1. The Provider undertakes to provide, and the Customer agrees to accept and pay for marketing services (SEO, PPC, reputation management, etc.).
3.2. Services are provided on a paid basis.
3.3. Changes are published on the Provider’s website.
3.4. All terms are binding.
4. Procedure for Conclusion
4.1. This Agreement is valid for all capable persons.
4.2. Acceptance is payment of the invoice.
4.3. Payment confirms agreement.
4.4. Separate written agreements override this Offer.
5. Pricing and Payments
5.1. Total price equals the cost of services provided.
5.2. Payment is made via wayforpay.com or bank transfer within 10 days.
5.3. Payment method is non-cash.
5.4. Provider issues Service Acceptance Acts.
5.5. Documents are sent electronically via “Vchasno”.
5.6. Customer must approve or comment within 2 business days.
6. Rights and Obligations
6.1. Provider has the right to:
- request necessary information
- set pricing
- amend Agreement
- process personal data
- suspend services for non-payment
6.2. Provider обязуется:
- provide services timely
- ensure quality
- provide explanations
- fix issues within 3 days
- protect personal data
6.3. Customer has the right to:
- receive services
- receive full information
6.4. Customer обязуется:
- provide accurate data
- pay on time
- not distribute materials
- accept completed services
7. Liability
7.1. Parties are liable under Ukrainian law.
7.2. Breach means improper performance.
7.3. Provider is not liable for missing/inaccurate data from Customer.
7.4. Customer is responsible for accuracy of data.
7.5. Late payment penalty applies.
7.6. Refund or credit possible if services not provided.
7.7. Force majeure освобождает стороны от ответственности.
8. Term of Agreement
8.1. Agreement valid from acceptance for 1 month.
8.2. Automatically extended unless terminated.
8.3. Renewal requires payment.
8.4. May be terminated:
- by agreement
- due to breach
- with 10-day notice
9. Personal Data Protection
9.1. Parties consent to data processing.
9.2. Parties ensure protection of data.
9.3. Customer confirms awareness of rights.
10. Electronic Document Flow
10.1. Electronic documents are legally valid.
10.2. Electronic signatures are used.
10.3. Documents exchanged via “Vchasno”.
11. Other Provisions
11.1. Offer is valid until revoked.
11.2. Customer confirms legal capacity.
11.3. Information is confidential.
11.4. Provider may amend Agreement.
11.5. Ukrainian law applies.
11.6. Disputes resolved by negotiation or law.
11.7. Invalid clauses do not affect others.
11.8. Confidentiality must be maintained.
11.9. Parties must update contact details.
11.10. Provider is a single tax payer (Group 3), non-VAT.
